Terms and Conditions for Supplier Registration as Etihad /Vendor
1. Introduction: These Terms and Conditions govern the registration and use of the SAP Ariba Portal for suppliers engaging with Etihad UAE. By registering on the portal, suppliers agree to comply with these terms and all applicable policies and regulations.
2. Eligibility and Registration
2.1. Suppliers must provide accurate and complete information during registration.
2.2. Etihad reserves the right to verify the information provided and request additional documentation.
2.3. Registration on the SAP Ariba Portal does not guarantee approval as an Etihad supplier.
3. Compliance and Legal Obligations
3.1. Suppliers must comply with all applicable laws, regulations, and Etihad procurement policies.
3.2. Any fraudulent or misleading information submitted will result in immediate disqualification and possible legal action.
3.3. Suppliers must adhere to Etihad Code of Conduct and Business Ethics.
4. Confidentiality and Data Protection
4.1. Suppliers must maintain the confidentiality of any proprietary or sensitive information received through the portal.
4.2. Personal and business data will be handled in accordance with Etihad's data protection policies.
4.3. Unauthorized use or distribution of confidential information is strictly prohibited.
5. Performance and Obligations
5.1. Suppliers must ensure timely and quality delivery of goods and services as per agreed contracts.
5.2. Etihad reserves the right to monitor supplier performance and take necessary action in case of non-compliance.
5.3. Failure to meet contractual obligations may lead to suspension or termination of supplier status.
6. Use of SAP Ariba Portal6.1. Suppliers must use the portal responsibly and for its intended business purposes only.
6.2. Unauthorized access, data manipulation, or misuse of the platform will result in termination of registration.
6.3. Etihad and SAP Ariba are not responsible for system downtimes or technical issues beyond reasonable control.
7. Termination and Suspension
7.1. Etihad reserves the right to suspend or terminate supplier registration at its discretion.
7.2. Suppliers may request deactivation of their accounts by providing written notice.
7.3. Any pending contractual obligations must be fulfilled before termination is processed.
8. Dispute Resolution
8.1. Any disputes arising from supplier registration and transactions shall be resolved through negotiation.
8.2. If unresolved, disputes will be subject to the governing laws of Saudi Arabia.
8.3. Suppliers agree to cooperate fully in dispute resolution processes.
9. Amendments and Updates
9.1. Etihad reserves the right to amend these terms at any time.
9.2. Suppliers will be notified of any significant changes, and continued use of the portal constitutes acceptance of the revised terms.
10. Acceptance of Terms By registering on the SAP Ariba Portal, suppliers acknowledge that they have read, understood, and agreed to these Terms and Conditions.
